These Terms of Service ("Terms") govern your access to and use of the Facturi platform ("Service"), operated by Facturi ("we", "us", or "our") at facturi.net. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use Facturi. If you are using the Service on behalf of a company, you represent that you have the authority to bind that company to these Terms.
2. Account Registration
- You must provide accurate, current, and complete information when creating your account.
- You are responsible for maintaining the confidentiality of your login credentials.
- You are responsible for all activity that occurs under your account.
- You must notify us immediately at support@facturi.net if you suspect unauthorised access to your account.
- One person or entity may not maintain more than one free account.
3. Subscription Plans and Billing
Plans
Facturi offers free and paid subscription plans. Plan features, invoice limits, and pricing are described on our Pricing page. We reserve the right to modify plan features and pricing with 30 days' notice.
Payment
- Paid plans are billed monthly or annually in advance via Stripe.
- All prices are in USD unless otherwise stated.
- By providing payment information, you authorise us to charge the applicable fees.
- Subscriptions renew automatically at the end of each billing period unless cancelled.
Trials
When a free trial is offered, you will not be charged during the trial period. If you do not cancel before the trial ends, your payment method will be charged for the first billing period.
Refunds
Monthly subscriptions are non-refundable. Annual subscriptions may be refunded on a pro-rata basis within 14 days of purchase if you have not used the Service extensively during that period. Contact billing@facturi.net to request a refund.
Failed payments
If a payment fails, we will retry up to three times over 7 days. After that, your account may be downgraded to the free plan or suspended until payment is resolved. You will be notified by email before any downgrade.
4. Acceptable Use
You agree to use Facturi only for lawful business purposes. You must not:
- Create or send fraudulent, misleading, or illegal invoices
- Use the Service to engage in money laundering, tax evasion, or financial fraud
- Violate any applicable law or regulation in your jurisdiction
- Attempt to gain unauthorised access to other accounts or our infrastructure
- Reverse-engineer, decompile, or attempt to extract our source code
- Use automated tools to scrape, crawl, or bulk-download data from the platform
- Resell or sublicense access to the Service without our written consent
- Upload malicious code, viruses, or content designed to disrupt the Service
- Impersonate another person or entity
We reserve the right to suspend or terminate accounts that violate these provisions without prior notice.
5. Your Data and Content
You retain full ownership of all data you enter into Facturi — including client information, invoice content, and product catalogs. By using the Service, you grant us a limited, non-exclusive licence to store, process, and display your data solely for the purpose of providing the Service to you.
We do not claim any intellectual property rights over your data. You are solely responsible for the accuracy and legality of the information you enter and the invoices you issue.
6. Data Portability and Export
You may export your data (invoices, clients, products) in standard formats (PDF, CSV) at any time from within your account. Upon account closure, you have 30 days to export your data before it is deleted from our systems.
7. Intellectual Property
The Facturi platform — including its software, design, logos, and branding — is owned by us and protected by intellectual property laws. These Terms do not grant you any rights to use our trademarks, trade names, or branding without our written permission.
Feedback, suggestions, or ideas you provide about the Service may be used by us without obligation to compensate you.
8. Availability and Uptime
We aim for 99.9% monthly uptime. However, we do not guarantee uninterrupted access to the Service. Scheduled maintenance will be announced in advance where possible. We are not liable for downtime caused by factors outside our reasonable control (force majeure, third-party outages, etc.).
9. Termination
By you
You may cancel your subscription and close your account at any time from your account settings. Cancellation stops future charges but does not entitle you to a refund of the current billing period (except as described in Section 3).
By us
We may suspend or terminate your account immediately if you breach these Terms, or with 30 days' notice if we discontinue the Service. Upon termination, your right to use the Service ceases immediately.
10. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that the Service is free of errors or that generated invoices will satisfy the legal requirements of every jurisdiction. You are responsible for ensuring your invoices comply with applicable tax and commercial laws.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Facturi and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities, arising from your use of or inability to use the Service.
Our total aggregate liability for any claim arising from these Terms or the Service is limited to the amount you paid us in the 12 months immediately preceding the event giving rise to the claim, or €100 (whichever is greater).
12. Indemnification
You agree to indemnify and hold harmless Facturi from any claims, damages, liabilities, and expenses (including legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) the invoices or content you create using the Service.
13. Governing Law and Disputes
These Terms are governed by the laws of the European Union and the jurisdiction of Spain, without regard to conflict-of-law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts of Spain, unless mandatory consumer protection laws in your jurisdiction provide otherwise.
Before initiating legal proceedings, you agree to first attempt to resolve disputes informally by contacting legal@facturi.net.
14. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email and update the "Last updated" date. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Service.
